1. Introduction

By entering into this agreement, Client gain access to our team of highly skilled professionals and a diverse range of services tailored to your specific needs. The Terms we establish together ensure a collaborative and transparent working environment throughout the entire project lifecycle. This means clear communication from the very beginning, with regular project updates and prompt responses to any questions you may have. We believe in setting clear expectations upfront, so everyone is aligned on the project's goals, deliverables, timelines, and budget.

Furthermore, the Terms provide clarity regarding ownership of intellectual property rights developed during the project. This protects both Client and Agency. The Terms also establish a framework for resolving any potential disputes efficiently and fairly, ensuring a smooth and productive working relationship.

In essence, these Terms represent a commitment from both Agency and Client to work together effectively. By leveraging our combined expertise, we can navigate the digital landscape and achieve your desired outcomes. We view these Terms as a foundation for building a successful partnership that propels your business forward in the digital age.

2. Services Offered

Agency offers a diverse range of services to cater to the evolving needs of its clients. These services include:

2.1. Software Development: We craft custom software applications and solutions designed to seamlessly integrate with your existing workflows and infrastructure. Our experienced development team will collaborate closely with you to understand your specific business objectives and user needs. Through a user-centered approach, we design, develop, and meticulously maintain your software, ensuring it delivers an intuitive and efficient experience for your users while driving measurable results towards your business goals.

2.2. Digital Marketing: Develop and execute data-driven, multi-channel marketing campaigns that leverage a variety of digital platforms (e.g., search engine optimization [SEO] for organic visibility, social media marketing for brand engagement and community building, email marketing for targeted nurturing and lead generation). This approach aims to optimize brand awareness, website traffic, lead generation, customer acquisition, and ultimately, drive business growth through strategic online marketing initiatives.

2.3. Cybersecurity Solutions: Our comprehensive cybersecurity solutions go beyond simple installation to include implementation and ongoing management of robust security measures. This ensures your data, systems, and infrastructure are protected from a wide range of cyberattacks. Our team of security experts will work closely with you to identify your vulnerabilities, implement best-in-class security tools and protocols, and continuously monitor and manage your defenses. This proactive approach allows us to identify and address potential threats before they can cause disruption or damage.

3. Project Engagement

3.1. Project Initiation: Client and Agency will embark on a collaborative planning process to solidify the project foundation. This phase focuses on defining a clear and achievable project scope. We'll work together to establish specific, measurable, achievable, relevant, and time-bound (SMART) goals for the project. We'll also meticulously outline the deliverables you can expect at each stage, ensuring they align perfectly with your project vision. To keep everyone on the same page, a detailed timeline will be established, outlining key milestones and deadlines. Furthermore, a comprehensive budget will be crafted, considering all project costs and ensuring financial transparency throughout the entire process. All this vital information will be meticulously documented in a formal Project Agreement, signed by both parties to guarantee clear expectations and a successful project journey.

3.2. Estimates: Our initial estimates are based on the information you provide during the project kickoff. To ensure accuracy, these estimates may be adjusted due to:

• Changes in project scope or requirements: If the project's goals, functionalities, or deliverables change after the initial assessment, we will update the estimate to reflect the additional work involved. We'll always keep you informed and obtain written approval before proceeding with any significant changes.

• Unforeseen circumstances or complexities: Sometimes, unforeseen challenges arise during a project. This could be due to unexpected technical hurdles, data access issues, or external factors beyond our control. In such cases, we will promptly communicate any potential impact on timelines or costs and work with you to find the best solution.

3.3. Client Responsibilities: To ensure a smooth and successful project lifecycle, Client agrees to the following:

• Provide Timely and Clear Communication: This includes providing prompt responses, clear and concise feedback, and timely approvals throughout the project stages. Efficient communication minimizes delays and ensures the project stays on track.

• Furnish Necessary Resources: Client will provide all essential data, assets, and materials required by Agency to effectively perform the agreed-upon services. This may include things like market research reports, brand style guides, or existing content.

• Uphold Intellectual Property Rights: Client guarantees that they hold all necessary rights and permissions to any intellectual property (IP) provided to Agency for use in the project. This includes things like trademarks, copyrights, and patents.

• Maintain Agreed-Upon Payment Schedule: Client will make all payments for the Agency's services in a timely manner, adhering to the established payment terms outlined in the contract.

4. Agency Responsibilities

Our agency is built on the foundation of exceeding client expectations and delivering exceptional service in all aspects of your project. This unwavering commitment is reflected in everything we do, from the team we assemble to the processes we follow:

4.1. Highly Skilled and Experienced Team: We meticulously handpick a team of professionals who possess the perfect blend of expertise and experience relevant to your specific project needs. Their dedication to applying their knowledge ensures we achieve the agreed-upon goals, going above and beyond to deliver optimal results.

4.2. Seamless Communication: We understand the importance of clear and consistent communication. You'll receive regular project updates that keep you informed and involved. We prioritize addressing any concerns promptly and fostering an environment of open dialogue to ensure a smooth and successful collaboration.

4.3. Unwavering Client Confidentiality: We take the security and confidentiality of your information very seriously. We implement industry-leading security measures to safeguard your sensitive data and ensure it remains protected throughout the entire project lifecycle.

5. Warranties and Disclaimers

5.1. Disclaimer of Warranties: While Agency is committed to providing exceptional service, it's important to acknowledge the inherent limitations associated with the digital landscape. The ever-evolving nature of technology and the unpredictable online environment can introduce unforeseen challenges. Therefore, Agency disclaims all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose. This means Agency cannot guarantee specific outcomes or be held liable for factors outside our reasonable control. However, we are dedicated to open communication and will work diligently to address any unexpected issues that may arise.

5.2. Limitation of Liability: Our liability for any claims arising from these Terms or the services provided is limited to the amount of fees you paid for the specific service in question. This establishes a reasonable and predictable limit on Agency's potential financial responsibility. It also ensures Agency remains accountable for the quality of the services we deliver. We prioritize client satisfaction and will strive to deliver results that meet or exceed your expectations. However, in the unlikely event of an issue, this clause outlines the maximum extent of our financial liability.

6. Intellectual Property Rights

6.1. Client Ownership: Client retains full ownership of all intellectual property rights associated with any data and materials they provide to Agency. This includes, but is not limited to, copyrights, trademarks, patents, trade secrets, and any other rights associated with your original creative works, inventions, or data. Agency will not claim ownership of these pre-existing client assets and will only use them as authorized by Client to complete the agreed-upon services.

6.2. Agency Ownership: Agency retains ownership of all intellectual property rights associated with the work product it creates specifically for your project. This work product may include, but is not limited to, marketing copy, designs, software code, inventions, or data analysis resulting from the project. However, there is an important exception: any work product that is solely derivative of your pre-existing intellectual property (e.g., a brochure that only uses your logo and pre-approved marketing materials) will still be considered owned by Client.

6.3. Clearance of Third-Party Rights: This clause also serves to clarify the ownership of any third-party intellectual property rights that may be included in the final work product. If Agency uses any stock photos, fonts, software, or other materials that require licensing from a third party, Agency will be responsible for obtaining the appropriate licenses to use those materials in the project.

7. Termination

7.1. Termination for Cause: Either party may terminate these Terms and the Project Agreement for cause upon written notice if the other party breaches any material provision of these Terms and fails to cure such breach within 30 days of written notice. Examples of "cause" may include failure to pay invoices, repeated delays in providing necessary information, or any act that significantly undermines the ability to complete the project successfully.

7.2. Termination for Convenience: Either party may terminate these Terms and the Project Agreement for convenience upon written notice to the other party. In such cases, Client will be responsible for payment for services rendered up to the date of termination, and Agency will deliver any completed deliverables and return any unused Client data and materials.

8. Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control ("Force Majeure Events"). Force Majeure Events shall include, but not be limited to:

8.1. Acts of God: This includes sudden and unforeseen natural disasters such as earthquakes, floods, tornadoes, hurricanes, lightning strikes, volcanic eruptions, wildfires, and mudslides.

8.2. Natural Disasters: This broadens the scope beyond "Acts of God" to include events like severe weather disruptions (blizzards, ice storms, extreme heat or cold), pestilence (infestations harming crops or livestock), or astronomical events (meteorite strikes).

8.3. Labour disputes: This includes strikes, slowdowns, lockouts, work stoppages, or other labor disturbances impacting either party or a key supplier or service provider.

8.4. Government actions: This includes war, riots, civil unrest, terrorism, insurrection, quarantine restrictions, embargoes, sanctions, changes in law or regulation, or any other governmental actions that prevent or materially interfere with a party's ability to perform its obligations.

8.5. Pandemics or epidemics: This includes outbreaks of infectious disease that disrupt normal business operations, including government-imposed lockdowns, travel restrictions, worker shortages due to illness, or supply chain disruptions.

8.6. Utility outages: Unexpected power outages, communication disruptions, or internet failures that significantly hinder a party's ability to perform its obligations.

8.7. Shortages of critical materials: This includes situations where essential materials or supplies become unavailable or unreasonably priced due to unforeseen circumstances.

9. Dispute Resolution

In the event of a disagreement arising from these Terms or the services provided, both Client and Agency agree to prioritize a collaborative resolution process built on mutual respect and open communication. This will involve good faith negotiation, where both parties have a chance to clearly present their perspectives and underlying interests. By working together to understand each other's viewpoints, we aim to reach a mutually agreeable solution that is fair, efficient, and strengthens our ongoing partnership.

10. Governing Law

These Terms and Conditions, the Project Agreement, and the services provided by Agency shall be governed by and construed in accordance with the laws of the Republic of South Africa, excluding its conflict of laws principles. This means that any dispute arising out of or relating to these documents or the services provided by Agency will be decided based on the legal framework established in South Africa. By entering into this agreement, you agree that the courts of South Africa will have exclusive jurisdiction over any such disputes.

11. Entire Agreement

11.1. Formal Amendment Process: To ensure clarity and avoid misunderstandings, all changes to this agreement, including the Project Agreement and these Terms, must be documented in writing and signed by authorized representatives of both parties. This formalizes the amendment process, creating a clear record of agreed-upon changes and mitigating the risk of disputes arising from misinterpretations of verbal modifications.

11.2. Written Communication Requirement: All waivers, modifications, or amendments to this agreement, including the Project Agreement and these Terms, must be made in writing and signed by authorized representatives of both parties. This reinforces the importance of clear and documented communication for any changes to the agreement. Relying solely on verbal modifications can lead to confusion and disagreements later. A written record provides a transparent and verifiable reference point for both parties.

12. Severability

In the event that a court of competent jurisdiction finds any provision within these Terms to be invalid or unenforceable, such provision shall be severed from the Terms. The remaining provisions shall nevertheless remain in full force and effect. This ensures that the overall intent and functionality of the Terms are preserved, even if a specific part is found to be unenforceable. It also demonstrates our commitment to upholding the majority of the agreement while addressing any potential legal issues.

13. Notices

All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail, return receipt requested, postage prepaid, or sent by reputable overnight courier service to the addresses set forth below, or to such other addresses as the parties may have specified in writing if:

• To Client: Client's physical address.
• To Agency: 22 Century Blvd, Riversands, Johannesburg 1684, South Africa

14. Survival

Even after the termination of this Agreement for any reason, certain important provisions from Sections 5 (Warranties and Disclaimers), 6 (Intellectual Property Rights), and 10 (Governing Law) will continue to apply. These sections address critical matters that remain relevant even after the Agreement itself ends. For instance:

• Section 5 (Warranties and Disclaimers) outlines the limitations of liability for each party involved in the Agreement. This ensures clarity on what damages or losses are covered (or not covered) in case of any disputes.

• Section 6 (Intellectual Property Rights) clarifies ownership of any intellectual property created or used under the Agreement. This protects the rights of both parties regarding inventions, trademarks, or copyrights.

• Section 10 (Governing Law) specifies the legal jurisdiction that applies in case of disagreements arising from the Agreement. This establishes the legal framework for resolving any disputes.

15. Independent Contractors

Both parties acknowledge and agree that they are entering into this Agreement as independent contractors, and nothing within this Agreement should be interpreted to establish a partnership, joint venture, employer-employee, or principal-agent relationship. This means each party will maintain control over their work methods and hours, and will be responsible for their own taxes and benefits. You (the contractor) will not be entitled to employee benefits offered by us (the company), such as health insurance, paid time off, or unemployment benefits.

16. Entire Agreement

These Terms and the Project Agreement, together, represent the complete understanding between both parties regarding the subject matter at hand. This agreement takes precedence over any prior or contemporaneous communications, representations, or agreements, whether written or verbal. This ensures clarity and eliminates any potential confusion arising from past discussions or documents that may not fully reflect the current terms.
